Dear ECTA Members:

At our upcoming Annual General Meeting, scheduled for October 3, 2011 at 7:00 pm in the Foran Room, St. John’s City Hall, the ECTA Board of Directors will be asking the membership to vote on amendments to the By-Laws of the East Coast Trail Association.

A copy of the amendments are attached to this document both as a Word file and as a PDF.

A brief explanatory note follows my signature on this email.

Explanatory Notes
Proposed amendments to the By-Laws of the East Coast Trail Association
1. Clause 1 would create the positions of Chairperson and Vice-Chairperson. The Chairperson will chair meetings of the Board and the members. (This has been the practice of the Board for the past two years.)

2. Clause 2 would add the Chairperson to the Executive Committee.

3. Clause 3 sets out how meetings of the Board are called.

4. Clause 4 changes the title of the Section to recognize the position of Chairperson.

5. Clause 5 sets out the role of the chairperson in preparing the Agenda.

6. Clause 6 sets out what occurs in the absence or inability to act of the president or Chairperson.

7. Clause 7 clarifies the role of the Board in electing the officers. The present section gives the authority to the members and the Board. The long-standing practice of the Association is that the Board elects the officers.

8. Clause 8 changes the title of Treasurer to Vice-President, Finance and Administration.
